Parties agree as follows:

Sale of Product 1.1. Seller agrees to sell and transfer the ownership of the Product to the Buyer upon the execution of this Agreement and receipt of full payment as specified in Exhibit A. 1.2. The Product shall be delivered to the Buyer as agreed upon by the Parties, in accordance with the shipping terms outlined in Exhibit A.

Grant of Commercial Use License 2.1. In consideration of the purchase of the Product, Seller grants Buyer a non-exclusive, non-transferable license to use the design(s) contained in the Product for commercial purposes. 2.2. The license granted herein allows the Buyer to use, modify, reproduce, display, distribute, and sell products derived from the design(s) contained in the Product, subject to the terms and conditions of this Agreement.

Restrictions 3.1. Buyer acknowledges that the ownership of the design(s) contained in the Product shall remain with Seller, and Buyer shall not acquire any intellectual property rights or ownership interest in the design(s). 3.2. Buyer shall not sublicense, assign, transfer, or otherwise convey the commercial use license granted under this Agreement to any third party without the prior written consent of Seller. 3.3. Buyer shall not use the design(s) in a manner that infringes upon any intellectual property rights or violates any applicable laws or regulations.

Warranty and Liability 4.1. Seller represents and warrants that it is the lawful owner of the design(s) contained in the Product and has the right to grant the commercial use license as provided herein. 4.2. Seller makes no other warranties, whether express or implied, including but not limited to any warranty of merchantability or fitness for a particular purpose. 4.3. In no event shall Seller be liable to Buyer or any third party for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the design(s) or the Product.

Entire Agreement 5.1. This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, understandings, or representations, whether oral or written, relating to the subject matter hereof.

Governing Law and Jurisdiction 6.1. This Agreement shall be governed by and construed in accordance with the laws of [State/Country]. 6.2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located within the [State/Country].
